Terms of Service

1. Acceptance of Terms

By accessing or using MetaClick's services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and MetaClick, Inc. ("MetaClick," "we," "us," or "our"). If you do not agree to these Terms, do not use our services.

These Terms should be read alongside our Privacy Policy, which is incorporated by reference.

2. Eligibility

To use MetaClick, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into a binding agreement
  • Not have been previously terminated or banned from our services

If you are using MetaClick on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

MetaClick provides an AI-powered marketing image generation platform. Our service uses AI to generate custom visual content based on your brand profile and creative preferences. The platform operates on a credit-based usage system and is accessible through a web browser. Service availability is not guaranteed at all times.

4. Account Registration and Security

When you create an account, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately if you suspect unauthorized access to your account
  • Maintain only one account per person

You may sign in using third-party authentication providers (e.g., Google), subject to that provider's terms. We may suspend accounts where we suspect unauthorized access.

5. Credits and Billing

5.1 Credit System

Our service uses a credit-based system:

  • One credit equals one generated image
  • Credits are consumed when images are generated, regardless of whether you accept or reject the result
  • Purchased credits do not expire

5.2 Credit Packages

Credit packages are available for purchase on the platform. Available packages and pricing are displayed at the time of purchase.

5.3 Payment Processing

All payments are processed by our third-party payment processor. By making a purchase, you agree to our payment processor's terms of service for payment processing. All prices are in US dollars and may exclude applicable taxes. We reserve the right to change pricing with at least 30 days' notice.

6. Refunds

Credit purchases are final. If you believe you are entitled to a refund due to extraordinary circumstances, please contact [email protected].

7. Generated Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you provide to us, including brand profiles, uploaded images, and text inputs. You grant MetaClick a non-exclusive, worldwide license to use your content solely for the purpose of providing our services to you. This license terminates when you delete your account, subject to any legal data retention requirements.

7.2 Generated Images

Images generated through our platform are created by AI models operated by third-party providers. You receive a broad, non-exclusive license to use generated images for both commercial and non-commercial purposes, including marketing. MetaClick does not claim ownership of images generated for you. You acknowledge that due to the nature of AI generation, other users could potentially generate similar images independently.

7.3 AI Watermarking

Generated images may include digital watermarks — invisible markers embedded by our AI service providers that indicate AI-generated content. You must not attempt to remove, alter, or circumvent these watermarks. Watermarks may be detectable by AI content detection tools. You are responsible for complying with any legal requirements regarding disclosure of AI-generated content in your jurisdiction.

7.4 MetaClick Intellectual Property

The MetaClick platform, brand, design, and underlying technology are owned by MetaClick, Inc. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

8. Acceptable Use

You agree not to:

  • Generate illegal, harmful, defamatory, or obscene content
  • Generate content that infringes the intellectual property rights of others
  • Generate content depicting real persons without their consent
  • Generate content promoting violence, hate speech, or discrimination
  • Use the service for spam, phishing, or fraud
  • Attempt to circumvent rate limits or the credit system
  • Share your account credentials with others
  • Scrape, crawl, or automate access to the platform
  • Attempt to reverse-engineer AI models or prompts used by the platform
  • Upload malicious content such as malware or viruses
  • Attempt to remove or circumvent AI-generated content watermarks
  • Submit website URLs that you do not have authorization to analyze
  • Use the service in violation of any applicable law

We reserve the right to refuse generation of content that violates these guidelines. Credits consumed for content that is removed due to policy violations are not refunded.

Our service is designed for individual and business marketing use. Excessive automated usage or bulk generation outside of normal platform use may result in rate limiting or account restrictions. We reserve the right to throttle or restrict usage that impacts platform performance for other users.

9. Content Moderation

Our AI models include built-in safety filters. We may review flagged content at our discretion and reserve the right to remove content that violates our policies. Repeated violations may result in account suspension or termination. Content moderation decisions are made at our sole discretion.

10. Third-Party Services

Our platform relies on third-party services to operate, including:

  • AI services for image generation, creative direction, and content extraction
  • Payment processing for credit purchases
  • Cloud infrastructure for data storage, authentication, and delivery

Service availability depends on these third-party providers. We are not responsible for outages, changes, or issues caused by third-party services. 11. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features at any time with or without notice. Scheduled maintenance may cause temporary unavailability. Updates to AI models by our providers may affect the style or quality of generated content. We are not liable for service interruptions.

12. Account Termination

12.1 Termination by You

You may delete your account at any time by contacting [email protected]. Account deletion removes your profile, brand data, and generated images. Payment records may be retained as required by law. Active subscriptions will be canceled.

12.2 Termination by Us

We may suspend or terminate your account for:

  • Violation of these Terms or our Acceptable Use policy
  • Non-payment of subscription fees
  • Extended inactivity (with prior notice)
  • Any reason at our discretion with reasonable notice

Upon termination, your license to use the service ends immediately. Where possible, we will provide a reasonable period for you to download your generated images before data is deleted.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 AI-Specific Disclaimers

  • AI-generated images may contain visual artifacts, inconsistencies, or inaccuracies
  • Generated content should be reviewed before use in commercial materials
  • We do not guarantee that generated images are free from similarity to existing copyrighted works
  • Creative directions and narratives are AI-generated and may not perfectly align with your brand intent
  • You are solely responsible for verifying the appropriateness of generated content before publication

13.3 Limitation of Liability

To the maximum extent permitted by law, MetaClick's total liability to you for any claims arising from or related to these Terms or your use of the service shall not exceed the total amount you paid to MetaClick in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, profits, or business opportunities. Some jurisdictions do not allow these limitations; in such cases, our liability is limited to the maximum extent permitted by applicable law.

13.4 Data Loss

While we implement reasonable safeguards, we do not guarantee against data loss. You are responsible for maintaining your own backups of important content. We recommend downloading and storing generated images outside the platform. We are not liable for data loss due to system failures, third-party provider issues, or events beyond our control.

14. Indemnification

You agree to indemnify and hold harmless MetaClick, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the service
  • Content you provide or generate through the platform
  • Your violation of these Terms
  • Your violation of any third party's rights
  • Your use of generated images in marketing or other materials

15. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of law principles. If you have a dispute with MetaClick, you agree to first attempt to resolve it informally by contacting us at [email protected]. If the dispute is not resolved within 30 days, the courts of North Carolina shall have exclusive jurisdiction.

16. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure outages, third-party service failures, and power failures.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MetaClick regarding the use of our services, and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. No waiver shall be effective unless made in writing.

17.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

17.5 Notices

17.6 Export Compliance

You agree to comply with all applicable export control and sanctions laws. You will not use the service in any jurisdiction where such use would be prohibited by applicable law.
